Terms of Service

Welcome to CaptionAddr. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Dynsell LLC ("we," "us," or "our"), the developer and operator of the CaptionAddr mobile application ("the App"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. Acceptance of Terms

By accessing or using the App, you confirm that you are at least 13 years of age (or the minimum age required in your jurisdiction) and that you have the legal capacity to enter into these Terms. If you are using the App on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

CaptionAddr is an iOS application that allows users to import video clips, transcribe audio using on-device speech recognition, edit caption timing and styling, and export finished videos with captions permanently burned in. All video and audio processing is performed locally on the user's device.

3. User Accounts and Access

The App does not require account creation to use its core features. The App may use anonymous authentication via Firebase for internal functionality. You are responsible for maintaining the security of your device and Apple ID.

4. Subscriptions and In-App Purchases

4.1 CaptionAddr Pro

CaptionAddr offers a premium subscription ("CaptionAddr Pro" or "Pro") available as a monthly auto-renewable subscription at a price of $6.99 per month (USD), or as otherwise displayed in the App at the time of purchase.

4.2 Free Trial

New subscribers may be eligible for a free trial period of 3 days. If you do not cancel before the end of the free trial, your subscription will automatically convert to a paid subscription.

4.3 Payment and Billing

All payments are processed by Apple through the App Store. Payment will be charged to your Apple ID account at confirmation of purchase. Your subscription will automatically renew unless you cancel at least 24 hours before the end of the current billing period. You can manage and cancel your subscription at any time from your Apple ID account settings or at apps.apple.com/account/subscriptions.

4.4 Refunds

All purchase and refund transactions are handled by Apple. To request a refund, please visit reportaproblem.apple.com or contact Apple Support. We are unable to process refunds directly.

4.5 Price Changes

We reserve the right to change subscription pricing at any time. Apple will notify you of any price changes, and you will have the option to accept the new price or cancel your subscription before it takes effect.

CaptionAddr Pro includes the following benefits over the free tier:

Free users retain full access to on-device transcription, the caption editor, and burn-in export (with watermark, limited to 2-minute videos, and basic fonts).

6. User Content

6.1 Ownership

You retain all ownership rights to the video, audio, and caption content you create, edit, and export using the App. We do not claim any rights to your content.

6.2 Responsibility

You are solely responsible for the content you process through the App. You represent and warrant that you have all necessary rights and permissions to use, process, and distribute the content. You agree not to use the App to process content that is unlawful, defamatory, obscene, or that infringes the rights of any third party.

7. Intellectual Property

The App, including its design, code, features, and documentation, is the intellectual property of Dynsell LLC and is protected by applicable copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the App or its source code unless expressly permitted.

8. Open-Source Components

CaptionAddr incorporates certain open-source software components. These components are subject to their own licenses, which are available at captionaddr.com/licenses. Nothing in these Terms limits your rights under, or grants you rights that supersede, the terms of any applicable open-source license.

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

WE DO NOT WARRANT THE ACCURACY OF TRANSCRIPTIONS GENERATED BY THE ON-DEVICE SPEECH MODEL. Transcription accuracy may vary based on audio quality, background noise, accents, and other factors. You are responsible for reviewing and editing all captions before export.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DYNSELL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, HOWEVER CAUSED, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $50 USD, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Dynsell LLC and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from: (a) your use of the App; (b) your violation of these Terms; or (c) your violation of any third-party rights, including intellectual property rights.

13. Termination

We may suspend or terminate your access to the App at any time, with or without cause, and with or without notice. Upon termination, your right to use the App will immediately cease. You may stop using the App at any time. Sections that by their nature should survive termination will survive, including but not limited to Sections 6 (User Content), 10 (Disclaimer), 11 (Limitation of Liability), and 12 (Indemnification).

14. Apple-Specific Terms

These Terms are between you and Dynsell LLC, not Apple Inc. Dynsell LLC, not Apple, is solely responsible for the App and its content. Apple has no obligation to provide maintenance or support for the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); beyond that, Apple has no other warranty obligation. Apple is not responsible for addressing any claims relating to the App or your use of it, including product liability, consumer protection, or intellectual property claims. Apple is a third-party beneficiary of these Terms and may enforce them against you.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the App shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek equitable relief in any court of competent jurisdiction.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dynsell LLC regarding the App and supersede all prior or contemporaneous agreements, understandings, or communications, whether written or oral.

18. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of the App after such changes constitutes your acceptance of the revised Terms.
